Nicholas J. Vail

Biography

Nick serves as Of Counsel to Sequoia Legal, where he primarily assists the Firm with their Corporate Law Practice.

Although Nick assists with a variety of transactional matters, Nick’s corporate law practice focuses heavily on mergers & acquisitions, business structuring and formation, corporate governance, and general contract drafting, where he represents clients of all size—from individuals, to startups, to regional and multinational firms—and across a variety of industries, such as real estate, software and technology, retail, food and beverage, and professional services.

Nick's mergers & acquisitions practice focuses on advising clients through all phases of a deal, including assisting with, among other things, deal structuring, due diligence, risk assessment, and contract negotiation. Nick has represented buyers, sellers, and investors in numerous transactions, from small business acquisitions to complex multi-million dollar deals, and across a variety of industries. In all cases, Nick works to mitigate risks, streamline transactions, and maximize value for clients, while also helping to ensure a smooth process from initial negotiations to closing and beyond.

In addition to mergers & acquisitions, Nick provides comprehensive business formation and governance guidance to clients, including helping startup clients select the right entity structure for their new ventures, to assisting existing companies with corporate governance best practices, to drafting and negotiating various governance documents, such as shareholder agreements, operating agreements, bylaws, investor agreements, buy-sell agreements, and entity consents. Nick also assists clients with navigating complex legal questions, and preparing, negotiating, and reviewing a wide variety of commercial contracts, including with respect to employment and independent contractor matters, real estate matters, technology & software agreements, franchise agreements, regulatory issues, and more.
